BACKGROUND

Background information on this Project
BACKGROUND

Whitney Township Property

In May 2005, Temex concluded an agreement with Porcupine Gold Mines ("PGM", a joint venture between Goldcorp Inc. and Goldcorp Canada Ltd.) which granted Temex the option to acquire a 60% interest in the Whitney Township Property within the central portion of the Timmins gold mining camp. The Property is strategically located three kilometres west of the Pamour Open Pit Mine (total historical production from underground and open pit mining of 52.2 million tons at 0.09 opt gold for 4.7 million ounces of gold), which was recommissioned in 2005 by PGM. The Property comprises two groups of patented claims and two unpatented claims for a total area of 2,155 acres.

The Timmins area has been a major producer of both gold and base metals, with mines in the immediate vicinity producing over 65 million ounces of gold, and with production continuing on some deposits. The Timmins camp is situated in the Abitibi greenstone belt of the Archean Superior Province and comprises felsic through to ultramafic volcanic rocks, sedimentary rocks and felsic intrusive rocks. The Whitney Township Property lies proximal to the regional Destor-Porcupine Fault Zone and contacts between Timiskaming-type sediments and volcanics, and between mafic and ultramafic volcanics from which gold has been produced.

Excellent exploration potential exists for new near surface gold discoveries within the Whitney Township Property as well as additional high grade deposits at depth. Historic work records show that the Hallnor deposit extends at least to the 5,000 foot level where very high grade gold mineralization was intersected in drilling and subsequently mined from several hook vein structures. An underground drill intercept recorded a core length intersection grading 40.84 opt gold over an interval of 9.5 feet. Drilling results at shallower levels of the mine also illustrate the extensive vertical extent of the high grade nature of the deposit and include core length intersections of 1.69 opt gold over 4.7 feet, 0.65 opt gold over 15.0 feet, 0.75 opt gold over 6.2 feet and 0.23 opt gold over 15.6 feet. Historical production from the Upper Hallnor Mine, from surface to a depth of 1,500 feet, was 3.0 million tons at an average grade of 0.42 opt gold, while production from the Lower Hallnor ore body, between 2,000 and 5,000 feet, was 1.2 million tons at an average grade of 0.37 opt gold (total of 4.23 million tons at a grade of 0.40 opt gold). Mining of these zones stopped at the historical boundary which is now accessable to the Company. Temex believes similar exploration potential also exists within the Broulan Reef and Bonwhit Mine areas.

As of June 2009 under the agreement, Temex has earned a 60% interest in the Property from PGM by incurring exploration expenditures totalling $4.0 million on the Property over four years. Upon Temex vesting at 60% and a joint venture agreement being executed, PGM may elect to back-in to acquire a 30% interest from Temex (resulting in a Temex 30% / PGM 70% joint venture) by making a cash payment equal to 200% of expenditures incurred by Temex during the earn-in (to a maximum of $8.0 million) and the delivery of a feasibility study within two years of exercising the back-in right. The joint venture will be subject to standard dilution provisions allowing for the conversion of the participating interest of a party to a 2% NSR royalty, should that party's interest be reduced to 10% or less.

Current Work and Moving Forward

Subsequent to conclusion of the agreement, all data was integrated into a two dimensional GIS compilation (including historical surface and underground drill data, mine data, geophysical data, geological data and interpretations), from which target areas for a drill program were selected. Two drill campaigns were conducted from October to December 2005 and January to April 2006. A total of 39 holes totalling 6,050 metres tested three near surface gold zones (C Zone, Hugh Pam Zone, Reef Pit Zone), with the intent of developing near surface, potentially open pitable resources.

The C Zone, located northeast of the Broulan Reef Mine, was tested along a strike length of 425 metres and to vertical depths of 70 to 130 metres below surface by a total of 12 holes for 2,255 metres. Gold mineralization is associated with areas of 5 to 15% quartz and quartz-carbonate veining in sheared, altered Archean Tisdale mafic volcanic host rocks.

The Hugh Pam Zone, located along the unconformable contact between the Tisdale volcanics and younger Timiskaming sediments was tested by 21 drill holes totalling 2,801 metres along 415 metres of strike length and to vertical depths of 25 to 115 metres below surface. All holes intersected gold mineralization associated with quartz-carbonate veins with pyrrhotite, pyrite, arsenopyrite, sphalerite, chalcopyrite, and intense sericite alteration.

The Reef Pit Zone, located southwest of the Broulan Reef Mine was tested by six drill holes totalling 657 metres along a strike length of 150 metres. All drill holes intersected significant continuous gold mineralization and the zone remains wide open at depth and to the west.

The drill program also resulted in the discovery of a significant new gold zone in an area previously untested by drilling, and possibly being the faulted eastern extension of the Broulan Reef Mine horizon. TW06-30 intersected a wide zone of pervasively altered volcanic rock with 2 to 3% pyrrhotite within which an one metre long sample assayed 15.64 g/t gold. The host rock is typical of past producing mines in the immediate vicinity.

In July 2008, Temex completed a 3,325 metre drill program on the Broulan Reef Mine portion of the Whitney Township Property. Significant and high grade gold values intersected near surface with visible gold observed in quartz vein systems in 10 of 12 holes within the C Zone area and former Broulan Reef mine crown pillar, hanging wall and foot wall zones. Intersections of 33.46 g/t gold over 5.40 metres including 62.99 g/t gold over 2.80 metres, and a second lower interval of 2.29 g/t gold over 7.10 metres and 3.58 g/t gold over 6.60 metres including 8.33 g/t gold over 0.80 metres were reported. Additional drilling being planned.

Also in July 2008, the deep Vipond Formation drilling program of approximately 2,400 metres commenced to test for down plunge extensions of the gold-bearing Broulan Reef structure, where this significant structure intersects the more favourable high iron tholeiitic basalts of the Vipond Formation at depth, and immediately west of the Broulan Reef Mine workings, a previously untested target on the Whitney Township Property. The Vipond Formation is host to significant high grade gold ores within the prolific Dome and Hollinger Mines, several kilometers to the southwest.

Additionally, a deep Hallnor drilling program of approximately 13,000 metres commenced to test high grade mineralized vein systems which are projected to plunge westward across the former Hallnor Mine west boundary where previous mining was terminated due to non-ownership of the adjacent mining claims. The two main Lower Hallnor vein systems mined up to the boundary were the 11 Vein and the 19 Vein which produced 450,000 tons at 0.30 opt gold and 650,000 tons at 0.42 opt gold respectively.

Modelling by Temex indicates that at the time the mine ceased operations in 1971, several other vein systems were either partially mined or drilled but not fully developed or mined. The presence of significant high grade historical drill intersections outside of the Lower Hallnor Mine workings are an indication of the excellent potential to build further resources on the Property. These include an extremely high grade interval grading 40.84 opt gold over 9.5 feet and also intersections including 0.65 opt gold over 15.0 feet.

PAM Property

In 2007, Temex acquired a 100% interest in the PAM Property, centrally located within the Whitney Township Property boundaries through a purchase and sale agreement. As consideration, Temex paid $30,000 and issued 200,000 shares.

Croxall Property

In June 2009, Temex was granted the option to earn a 100% interest in the Croxall Property, located in Price Township in the West Timmins area. In order to earn a 100% interest in the Croxall Property the Company must make cash payments totalling $120,000, issue 200,000 common shares of Temex and complete work programs totalling $500,000 over a three year term. Initial payments were comprised of 90,000 common shares and $30,000. The Optionors shall retain a 2.5% net smelter return royalty of which Temex may purchase 1.3% for $1.3 million. The Agreement is subject to advance on royalty payments of $9,000 per year after the earn-in for a period not to exceed 10 years. The buyout and the advance royalty payments are to be indexed to the Consumer Price Index.

The Croxall Property has been explored by other operators over the past two decades and this work resulted in the generation of good quality data and a reasonable understanding of the basic geology has been developed. This database will allow Temex to fast track exploration of certain portions of the Property and allow immediate drill testing of prime targets such as the syenite porphyry and other 'red altered' porphyry areas already identified. In the course of exploration work in the mid 1990's, a porphyry in the southern part of the Property is reported to have assayed 2.62 g/t over 0.91 metres in one drill hole while another drill hole in a separate syenite porphyry assayed 2.32 g/t over 1.38 metres. This latter porphyry is estimated to be on the order of 750 metres by 250 metres in surface expression. The geological setting and the level of gold values obtained from previous work are similar to those reported historically at the Rusk zone on the West Timmins Mining property.

The data set also includes geophysical data that has identified numerous gold exploration targets that are largely untested. One area of the Property covers the extension of some of the gold mineralized zones drill tested by West Timmins Mining and Lake Shore Gold including one referred to as the 'North Zone' with a recently reported intersection of 13.64 g/t gold over a core length of 8.2 metres. The Property also covers an interval of roughly 3 kilometres of the Porcupine-Destor Fault, a key marker for gold mineralization in the Timmins Gold Camp. In another area of the Property a drill hole intersected a zone of highly altered sediments containing pyrite and arsenopyrite that assayed 1.59 g/t gold over 1.5 metres in addition to numerous anomalous gold values that warrant follow-up. No drilling appears to have tested this zone of mineralization anywhere nearby.

Temex has initiated a full review and compilation of the historic data on the Property and expects to be in a position to start diamond drilling in summer. Other work contemplated for the summer will include geophysical surveying over specific existing gold exploration targets including syenite porphyry bodies similar to those that host the Thunder Creek discovery.

Note: where check values are present, the arithmetic average of the check value and the first value has been used. The true widths of the reported gold-mineralized intervals are generally interpreted to range from 75% to 90% of the drilled widths for all holes with exceptions as noted: TW05-07 approximately 25% of the drilled width; TW05-13 approximately 66% of the drilled width; TW06-21 and TW06-22 approximated the strike of the mineralized zone.

In hole TW05-11, the analysis reported for the single sample from 44.00 to 45.00 metres is an average of four fire assay checks of 96.96, 111.77, 185.90 and 170.47 g/t gold.

QA/QC Procedures were documented in the news release dated December 7, 2005.
